Board Members Exchange Tool

How to Replace Board Members Across Multiple Entities in NEWTON

This guide walks you through how to use the Board Members Exchange Tool to replace a director across multiple entities, set the correct dates, and keep the full history intact.

NEWTON Exchange Board Members form with fields for selecting an outgoing and incoming board member, dates, and role settings.

One Change. Every Entity. Done.

When a director resigns or a new board member takes over, the update rarely affects just one entity. In complex structures, the same person can hold roles across dozens of companies. Updating each record manually takes time and leaves room for errors.

NEWTON’s Board Members Exchange Tool lets you handle this in a single step, across all relevant entities at once.

Why This Matters

Accurate board records are not just good practice. They matter for compliance, KYC, UBO checks, and audit readiness. A single outdated director entry can create inconsistencies across your entire structure.

The Exchange Tool makes sure every record stays accurate, without anyone having to click through each entity individually.

How This Helps You:

  • Replace one board member with another across all relevant entities in one action
  • Set the Date of Resignation for the outgoing person and the Date of Appointment for the incoming one
  • Preserve the full mandate history automatically
  • Filter by project, country, entity type, board, or role to control exactly where the change applies

Step-by-Step: Exchange a Board Member

  1. Go to Tools in the NEWTON navigation and select Exchange Board Members.
  2. Select the outgoing board member from the dropdown as your starting point.
  3. Set the Date of Resignation for the outgoing person.
  4. Optionally, select the incoming board member and configure their role, Date of Appointment, Management Class, and any ancillary roles.
  5. Use the filters at the bottom to narrow the scope, for example to a specific project, country, or board type.
  6. Review the list of affected entities and confirm the exchange.

NEWTON will update all matching records and retain the history of the previous mandate.

Pro Tip

Use the filters to run a targeted exchange first, for example within one jurisdiction, before applying it more broadly. This is useful when the incoming board member takes on the role at different dates across different entities.

Board changes happen. NEWTON makes sure your records keep up.
